Introduction

These Terms & Conditions (“Terms”) govern your use of the HushAway® website, mobile application, audio content, services, subscriptions, and related products (collectively, the “Services”).

HushAway® is operated by NMR Associates Ltd (Company No. 11771982) (“HushAway®”, “we”, “our”, or “us”).

By accessing or using our Services, creating an account, starting a trial, or purchasing a subscription, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

Important Information

HushAway® is designed to support relaxation, emotional regulation, mindfulness, and calming routines for children and families.

HushAway® is not a medical device, healthcare provider, therapy service, or emergency support service. The content provided through the Services is informational and wellbeing-focused only and should not be considered medical, psychiatric, psychological, or clinical advice.

Parents and carers remain fully responsible for supervising children using the Services.

If you have concerns regarding a child’s health, wellbeing, behaviour, or safety, you should seek advice from a qualified healthcare professional.

Eligibility

You must be at least 18 years old to create an account or purchase a subscription.

Children may only access or use the Services under the supervision and responsibility of a parent, guardian, teacher, or authorised adult.

By using the Services, you confirm that:

• you are legally capable of entering into a binding agreement;

• any information you provide is accurate and up to date; and

• you will use the Services only in accordance with these Terms and applicable laws.

Accounts

You may need to create an account to access some areas of the Services.

You are responsible for:

• maintaining the confidentiality of your login details;

• all activity carried out under your account; and

• ensuring your account information remains accurate.

We reserve the right to suspend or terminate accounts where:

• these Terms are breached;

• misuse of the Services is identified;

• fraudulent activity is suspected; or

• behaviour towards HushAway® staff or other users is abusive or unlawful.

Subscription Services

HushAway® may offer free trials, monthly subscriptions, annual subscriptions, or one-off purchases.

Free Trials

Where a free trial is offered:

• payment details may be required at sign-up;

• your subscription will automatically convert into a paid subscription unless cancelled before the trial period ends; and

• you may cancel at any time before billing begins.

Subscription Billing

By purchasing a subscription, you authorise us and our payment providers to charge your selected payment method.

Subscriptions renew automatically unless cancelled before the next billing date.

We reserve the right to change pricing at any time. Any material pricing changes will be communicated in advance.

Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting us.

Unless otherwise stated:

• cancellation prevents future renewal charges;

• access will continue until the end of the current billing period; and

• partial or prorated refunds are not provided.

Under UK consumer law, digital content that is accessed immediately after purchase may not qualify for the standard 14-day cancellation period once access has begun and you have expressly consented to immediate delivery.

Nothing in these Terms affects your statutory consumer rights.

Acceptable Use

You agree not to:

• use the Services unlawfully or fraudulently;

• copy, distribute, resell, or commercially exploit HushAway® content without permission;

• attempt to gain unauthorised access to systems or accounts;

• upload malicious software or harmful code;

• use the Services in a way that could damage, disable, or impair the platform; or

• misuse community or support features.

We reserve the right to suspend or terminate access where misuse is identified.

Intellectual Property

All content within the Services, including but not limited to:

• audio tracks;

• soundscapes;

• visual assets;

• branding;

• logos;

• written content;

• website design; and

• software functionality

is owned by or licensed to HushAway® and protected by intellectual property laws.

You are granted a limited, non-transferable, non-exclusive licence for personal, non-commercial use only.

You may not reproduce, distribute, modify, record, share publicly, or commercially exploit any HushAway® content without prior written consent.

User Content

If you submit reviews, comments, testimonials, survey responses, or other content to HushAway®, you grant us a non-exclusive, royalty-free licence to use, reproduce, and display that content for operational, marketing, research, or service improvement purposes.

You confirm that any content submitted:

• is your own or you have permission to share it;

• does not infringe the rights of others; and

• is not unlawful, abusive, defamatory, or misleading.

Privacy & Data Protection

We process personal information in accordance with our Privacy Policy.

HushAway® is committed to complying with applicable UK data protection legislation, including the UK GDPR and the Data Protection Act 2018.

Where children’s data is processed, we take additional care to ensure data is handled appropriately and lawfully.

Third-Party Services

The Services may contain links to third-party platforms, websites, integrations, or payment providers.

We are not responsible for the content, availability, or practices of third-party services.

Your use of third-party services may be subject to separate terms.

Availability of Services

We aim to provide uninterrupted access to the Services but do not guarantee continuous availability.

We may:

• update or modify features;

• remove content;

• carry out maintenance;

• suspend access temporarily; or

• discontinue parts of the Services.

Where reasonably possible, we will provide notice of significant disruptions.

Limitation of Liability

Nothing in these Terms excludes liability where it would be unlawful to do so, including liability for:

• death or personal injury caused by negligence;

• fraud or fraudulent misrepresentation; or

• breaches of statutory consumer rights.

To the maximum extent permitted by law, HushAway® shall not be liable for:

• indirect or consequential losses;

• loss of data;

• loss of profits;

• business interruption; or

• any loss arising from reliance on the Services.

The Services are provided on an “as available” basis without guarantees that they will meet every individual need or expectation.

Safeguarding & Supervision

Parents, carers, and guardians remain responsible for:

• supervising children using the Services;

• assessing suitability for their child’s individual needs; and

• ensuring safe use of devices and headphones.

HushAway® content should not be used while undertaking activities requiring full attention, including driving or operating machinery.

Changes to These Terms

We may update these Terms from time to time.

Where changes are material, we will take reasonable steps to notify users.

Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
